Welcome to UNART (the "Platform"), an online marketplace where independent artists can list and sell contemporary artwork—including street art, graffiti art, fan art, and more. By accessing or using the Platform, you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree with any part of these Terms, please refrain from using the Platform.

1. Eligibility

  1. You must be at least 18 years old to register for an account or engage in any transactions on the Platform.
  2. By using the Platform, you represent and warrant that you meet the eligibility requirements and that all information you provide is accurate and complete.

2. Account Registration and Security

  1. Users must register an account to access certain features of the Platform.
  2. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
  3. You agree to notify UNART immediately of any unauthorized use of your account or any other breach of security.

3. Listing and Sale of Artwork

  1. Artist Representations: Artists must ensure they have the full rights to list and sell their artwork and that the artwork does not infringe on any third-party intellectual property rights.
  2. Accuracy of Listings: All information provided in listings—including descriptions, images, and pricing—must be accurate and not misleading.
  3. Approval and Removal: UNART reserves the right to review, suspend, or remove any listings that violate these Terms or are deemed inappropriate or infringing.

4. Commission and Payment Terms

  1. Commission Fee: UNART charges a commission fee of 15% on the final sale price of each artwork sold through the Platform. This fee is automatically deducted from the proceeds at the time of sale.
  2. Payment Processing: Payments are processed securely through our third-party payment gateway. Artists will receive their net proceeds (after commission deductions) within a specified time frame following a successful transaction.
  3. Refunds and Disputes: In the event of a refund or dispute between buyers and sellers, UNART will follow its dispute resolution process, and any adjustments to commissions will be handled accordingly.

5. Intellectual Property Rights

  1. Ownership: Artists retain all intellectual property rights in their artwork. By listing artwork on the Platform, you grant UNART a non-exclusive, royalty-free license to display, promote, and market your artwork on our website and affiliated channels.
  2. Third-Party Rights: You must not list any artwork that infringes on the intellectual property rights of others. UNART reserves the right to remove any content that violates these Terms.

6. Prohibited Conduct and Content

  1. Content Restrictions: You may not list any artwork that is illegal, offensive, defamatory, or in violation of any applicable law.
  2. Behavior: Users must not engage in fraudulent, deceptive, or harmful behavior on the Platform. This includes, but is not limited to, misrepresenting artwork, engaging in harassment, or manipulating reviews.
  3. Enforcement: UNART may suspend or terminate your account and refuse any and all current or future use of the Platform if you violate these Terms.

7. Transactions Between Users

  1. Intermediary Role: UNART acts solely as a facilitator between independent buyers and sellers. We do not own the artwork listed, nor do we act as a party in any transactions.
  2. Dispute Resolution: Any disputes arising directly between buyers and sellers must be resolved by the respective parties. UNART will offer assistance only in accordance with our dispute resolution procedures.

8. Shipping, Returns, and Risk

  1. Shipping: The responsibility for shipping arrangements, costs, and delivery timelines lies with the seller unless otherwise agreed upon in writing.
  2. Returns and Refunds: Return and refund policies are determined by individual sellers and must be clearly stated in the artwork listing.
  3. Risk of Loss: Risk of loss or damage to artwork passes from the seller to the buyer upon delivery, as defined by the chosen shipping method.

9. Disclaimer of Warranties

  1. The Platform is provided on an "as is" and "as available" basis. UNART disclaims all warranties, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.
  2. UNART does not guarantee the authenticity, quality, or condition of any artwork listed on the Platform.

10. Limitation of Liability

  1. In no event shall UNART, its affiliates, directors, employees, or agents be liable for any indirect, incidental, special, or consequential damages, or for any loss of profits or revenue arising from your use of or inability to use the Platform.
  2. UNART’s total liability, whether in contract, tort, or otherwise, shall not exceed the amount paid by you, if any, to access or use the Platform.

11. Indemnification

You agree to indemnify, defend, and hold harmless UNART and its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses (including reasonable attorneys’ fees) arising out of or in any way connected with your access to or use of the Platform, your violation of these Terms, or your infringement of any intellectual property or other rights.

12. Termination

  1. UNART reserves the right to suspend or terminate your account and access to the Platform at any time, without prior notice, for any reason, including violations of these Terms.
  2. Upon termination, your right to use the Platform will immediately cease, and you must promptly delete any materials obtained from the Platform.

13. Governing Law and Dispute Resolution

  1. These Terms shall be governed by and construed in accordance with the laws of the United Kingdom.
  2. Any disputes arising out of or relating to these Terms or the use of the Platform shall be subject to the exclusive jurisdiction of the courts of the United Kingdom.
  3. You agree to submit to the personal jurisdiction of these courts for the purpose of litigating all such claims or disputes.

14. Changes to the Terms

  1. UNART reserves the right to modify or update these Terms at any time. Any changes will be posted on the Platform with an updated "Last Updated" date.
  2. Your continued use of the Platform following any changes constitutes your acceptance of the new Terms.

15. Notices

  1. All notices and communications regarding these Terms or the Platform must be sent via email to unart.shop@gmail.com or delivered to our mailing address provided on the website.
  2. Notices will be deemed received 48 hours after being sent if delivered by email.

16. Miscellaneous

  1. Entire Agreement: These Terms constitute the entire agreement between you and UNART regarding your use of the Platform and supersede all prior agreements or understandings.
  2. Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
  3. No Waiver: The failure of UNART to enforce any right or provision of these Terms shall not constitute a waiver of future enforcement of that right or provision.
  4. Assignment: You may not assign or transfer these Terms or your account without UNART’s prior written consent. UNART may assign these Terms without your consent.
